2. About these terms
These terms apply to your use of our website and digital services.
Some products or services accessible through OvonOne have their own terms and conditions. These may include warranties, service plans, breakdown products, finance products, payment products and services provided by third parties.
Where separate product or service terms apply, those terms form a separate agreement relating to that product or service.
If there is a conflict between these Terms of Use and specific terms applying to a product or service, the specific product or service terms will take precedence in relation to that product or service.
3. Using OvonOne
You may use OvonOne to access services including, depending on availability:
- obtaining information about products and services;
- requesting or receiving quotations;
- purchasing or managing products;
- applying for finance or payment products;
- managing warranties, service plans and other automotive products;
- making or managing claims;
- communicating with us or another service provider; and
- accessing other functionality made available through the platform.
The services available to you may depend on the dealer, broker, partner or other organisation through which you access OvonOne.
We may add, change or remove functionality from time to time.
4. Information you provide
You must ensure that information you provide through OvonOne is, to the best of your knowledge:
- accurate;
- complete;
- not misleading; and
- kept reasonably up to date where appropriate.
You must not knowingly provide false information, impersonate another person or use another person's information without authority.
Incorrect or incomplete information may affect the availability, validity or operation of a product or service.
5. Accounts and security
Some OvonOne services may require you to create an account or verify your identity.
You are responsible for taking reasonable steps to keep your account and authentication details secure.
You must not:
- allow another person to use your account without authority;
- disclose passwords, verification codes or other security credentials;
- attempt to gain unauthorised access to another person's account; or
- circumvent security measures.
If you believe your account or credentials have been compromised, you should contact us promptly.
We may temporarily restrict access to an account where we reasonably believe this is necessary to protect you, another user, OvonOne or another organisation from fraud, misuse or a security threat.
6. Acceptable use
You must use OvonOne lawfully and responsibly.
You must not:
- use our services for any unlawful or fraudulent purpose;
- attempt to gain unauthorised access to our systems or data;
- interfere with the operation, security or availability of our services;
- introduce viruses, malware or other harmful material;
- attempt to circumvent security, authentication or access controls;
- scrape, harvest or systematically extract information from our services without permission;
- use automated systems to access our services in a way that places an unreasonable load on them;
- reverse engineer or attempt to derive source code except where applicable law expressly permits this;
- use our services to infringe another person's intellectual property, privacy or other rights;
- knowingly submit false, misleading or fraudulent information; or
- use our services in a way that could damage OvonOne, our customers, partners or other users.
We may restrict or suspend access where we reasonably believe these terms have been materially breached or where necessary to protect the security or integrity of our services.
7. Products provided by other organisations
OvonOne provides technology through which products and services from other organisations may be made available.
These organisations may include:
- vehicle dealers and brokers;
- warranty and service-plan providers;
- breakdown providers;
- finance providers;
- payment providers;
- repairers; and
- other automotive service providers.
Where a product or service is provided by another organisation, the identity of that provider and any applicable terms should be provided as part of the relevant application, quotation, purchase or product documentation.
Ovon One Limited is not automatically the provider, insurer, lender or supplier of a product merely because that product can be accessed through the OvonOne platform.
8. Finance and payment products
OvonOne may enable you to access finance or payment products provided by independent third parties.
Where you choose to apply for such a product, information you provide may be passed to the relevant provider for the purposes of processing your application.
The provider may perform eligibility, affordability, identity, fraud prevention, credit or other checks in accordance with its own terms and privacy notice.
Any decision to offer, decline or determine the terms of a finance product is made by the relevant finance provider unless we expressly state otherwise.
Use of the OvonOne platform does not guarantee that an application will be accepted or that a particular finance product, rate or credit limit will be available.
The finance provider's own terms will apply to any finance agreement you enter into.
9. Quotations and availability
Unless expressly stated otherwise, information displayed through OvonOne does not constitute a binding offer.
Product availability, eligibility, prices and other terms may depend on information provided by you or another party and may be subject to confirmation.
A contract for a particular product or service will arise only in accordance with the specific terms applying to that product or service.
10. Third-party websites and services
OvonOne may contain links to, integrate with or redirect you to websites or services operated by third parties.
We are not responsible for the content, availability or operation of third-party websites or services that are outside our control.
Third parties may have their own terms of use and privacy notices, which you should review where appropriate.
11. Availability of OvonOne
We aim to provide reliable access to our services, but we do not guarantee that OvonOne will always be available without interruption or error.
Access may occasionally be unavailable because of:
- maintenance;
- software updates;
- technical faults;
- failures affecting third-party services;
- telecommunications or internet failures;
- security incidents; or
- circumstances outside our reasonable control.
We may suspend, withdraw or restrict all or part of our services where reasonably necessary.
Where practical, we will seek to minimise disruption.
12. Intellectual property
The OvonOne platform, website, software and associated content are protected by intellectual property laws.
Unless otherwise stated, Ovon One Limited or its licensors own the intellectual property rights in the OvonOne platform and content created by us.
You may use our services for their intended purpose.
You must not copy, reproduce, modify, distribute, commercially exploit or create derivative works from our software or content except:
- with our permission;
- as expressly permitted by these terms; or
- where applicable law permits you to do so.
Third-party names, logos, trademarks and content remain the property of their respective owners.
13. Information on our website
We take reasonable care to ensure that information we publish is accurate and up to date.
However, general information on our website is provided for informational purposes and may not reflect your individual circumstances.
You should rely on the specific documentation and terms supplied in relation to a product or service when making decisions about that product or service.
14. Our responsibility to you
Nothing in these terms excludes or limits liability where doing so would be unlawful.
In particular, nothing in these terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability that cannot legally be excluded or limited.
We are responsible for losses that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill.
We are not responsible for losses that were not reasonably foreseeable when you began using the relevant service.
Where you use OvonOne as a consumer, nothing in these terms affects your statutory rights.
15. Business users
If you access OvonOne on behalf of a dealer, broker, supplier, partner or other business, additional contractual terms between that organisation and Ovon One Limited may apply.
Those contractual terms will take precedence over these Terms of Use where they deal specifically with the business's use of the OvonOne platform.
If you access OvonOne on behalf of an organisation, you confirm that you are authorised to do so.
16. Privacy
Our use of personal information is explained in our Privacy Notice.
Our Privacy Notice explains:
- what personal information we collect;
- why we use it;
- who we may share it with;
- how long we retain it; and
- your rights under UK data protection law.
The Privacy Notice is available on our website.
17. Communications
Where you provide contact details to us, we may use them to send communications necessary to operate or administer services you use.
These may include communications relating to:
- applications;
- transactions;
- payments;
- products;
- claims;
- appointments;
- account security;
- renewals; and
- customer support.
Service communications are separate from marketing communications.
Our Privacy Notice explains how we use your personal information for communications and marketing.
18. Suspension and termination
We may suspend or terminate access to OvonOne where reasonably necessary because:
- you have materially breached these terms;
- we reasonably suspect fraud or unlawful activity;
- continued access presents a security risk;
- we are required to do so by law or a regulatory authority;
- a relevant contractual relationship has ended; or
- the service is being discontinued.
Where appropriate and reasonably practicable, we will provide notice before terminating access.
Termination of access to the platform does not automatically terminate any separate warranty, service plan, finance agreement or other product you have entered into. The terms of the relevant product will determine what happens to it.
19. Changes to these terms
We may update these Terms of Use from time to time, for example to reflect:
- changes to our services;
- changes in law or regulation;
- security requirements; or
- changes to the way the OvonOne platform operates.
The latest version will be published on our website.
Where a change materially affects an ongoing service and it is appropriate to do so, we will take reasonable steps to notify affected users.
The date at the top of these terms shows when they were last updated.
20. If part of these terms is unenforceable
If any provision of these terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply.
A delay or failure by us to enforce a provision does not mean that we waive our right to enforce it later.
21. Governing law
These terms are governed by the laws of England and Wales.
If you are a consumer resident elsewhere in the United Kingdom, you may also benefit from mandatory protections provided by the laws applicable where you live.
If you are a consumer, you may bring legal proceedings in the courts available to you under applicable law.
For business users, the courts of England and Wales will have exclusive jurisdiction unless separate contractual terms provide otherwise.
